Terms and Conditions


This App is provided by Contract Connections NZ Limited (trading as Contract Connections NZ). The
following Terms outline our obligations to you and your obligations to us when using our Services.
 

1- DEFINED TERMS:
1.1- Definitions: In these Terms, unless the context indicates otherwise:
App refers to the mobile application known as Contract Connections NZ Limited.
Contractor means individuals or entities using the App to provide professional quotes and offer
services to Clients.
Client means a person or entity using the App to seek additional labour.
Job Request means a request for a service offered by a Client.
Services means any services offered by the App from time to time including but not limited to
quoting services, User matching, listing profiles, account servicing, providing a feedback forum,
message boards and SMS alerts.
Shortlisted means being selected by a Client to communicate with them in regards to the
posted job.
Subscription Fee has the meaning given in clause 9.1.
Subscription Period is the period of time that a User has subscribed to the App for.
Terms means these terms and conditions as they may be updated from time to time;
User refers to any individual or entity using the App, including both Contractors and Clients.
User Account refers to the account created by a User to access and use the App.
User Profiles refers to the profiles created by Users containing information about their skills,
qualifications, and requirements.

2- ACCEPTANCE OF TERMS:
2.1- By registering as a User of the App, you are considered to agree to these Terms without
qualification. If you do not agree to be bound by these Terms, you must stop accessing and
using the App. We reserve the right to change these Terms at our sole and absolute discretion.
You are responsible for ensuring you are familiar with the latest Terms. By continuing to access
the App, you agree to be bound by the amended Terms.


3- PRIVACY POLICY & PERSONAL INFORMATION:
3.1 Privacy Policy
Registration and use of the Services on the App requires you to provide personal information.
We maintain a privacy policy which is available on the App. You consent to the release of your
personal information to us and third parties in connection with the uses contemplated by the
privacy policy.
 

3.2- Client Details
As a Client, you agree that when you post a Job Request on the App, multiple Contractors may
be provided with your contact information and may make contact with you. Clients may choose
which contact details they allow to be provided to Contractors (such as phone or email). The
personal contact details of the Client will remain private until a Contractor views a job, requests
the contact details of the relevant Client, and the Client allows the Contractor access to their
contact details.
 

3.3- Accuracy
You undertake that all information you provide will be accurate, current, and correct. If you
provide any information that is found to be inaccurate, untrue, or false, or if we have reasonable
grounds to suspect that such information is inaccurate, untrue, or false, we reserve the right to
refuse any current or future use of the App and the Services (or any portion thereof) by you.
 

3.4- Indemnity
Inputting false information, including a false name, phone number, address, credentials, or
email address, is fraudulent and a serious matter that could result in costs and damages to the
App’s Users, including the loss of time, effort and expense responding to and pursuing such false
information and requests, and further, could result in regulatory fines and penalties.
If you knowingly input false information in a Job Request or offer of service, including using
someone else's name, email address, physical address or phone number or a random or
fictitious name, address, email or phone number, you agree to fully indemnify and be liable to
us and to each User who the false information is supplied to, for any loss whatsoever that may
arise including any reasonable legal fees, cost and expenses.
 

3.5- Marketing and Security
By registering on the App, you consent to receiving marketing, promotional and other material
by way of electronic messages from us. You will ensure that all usernames and passwords
required to access our App are kept secure and confidential and you will notify us immediately
of any unauthorised use of your password or any other breach of security. You must not transfer
your User Account to another user or maintain more than one User Account with us without our
consent.

3.6- Suspension and Termination
We may, at our sole discretion, suspend or terminate your User Account and limit your access to
the App.
 

3.7- User requirements
In order to utilise the App and Services, you must:
a. Be eighteen (18) years of age or older; and
b. Have the right, authority and capacity to enter into these Terms and commit to abide by
all of the Terms; and
c. Have provided complete, accurate and current personal information and other User
Account details when registering with us; and
d. If you are a Client, operate within New Zealand; and
e. If you are a Contractor, be a resident or citizen of New Zealand, or a New Zealand entity.
If you register on behalf of an entity, you are deemed to have agreed to these Terms on
behalf of that entity; and
f. Enter information required to open a User Account by following the registration process
set out on the App; and
g. Satisfy our other anti-money laundering checks and other registration criteria including
undergoing verification checks to confirm your identity.

4- USE OF THE SERVICES:
4.1- Right to Use
Subject to you complying with these Terms, we grant you the non-exclusive right to access and
use the App for the sole purpose of accessing and using the Services.
 

4.2- Restrictions
When using the Services you agree and acknowledge that:
a. All requests, quotations or communications made through the App must be made in
good faith; and
b. All requests, communications, emails, and correspondence made through the App or to
the Users must not contain any offensive, insulting, defamatory or inappropriate
language and you acknowledge we reserve the right to determine what is offensive,
insulting, defamatory or inappropriate and to take action against such Users, including
the suspension, deactivation and permanent banning of Users from the App; and

c. You may not use the App or Services for any unlawful purpose; and
d. You must not damage, interfere with or harm the App or Services, or any network, or
system underlying or connected to them, or attempt to do so; and
e. You may not use a robot, spider, scraper, or other automated means to access or use
the App, Services or information featured on the App for any purpose; and
f. You must not list your email address, phone number or any other contact detail within
the description of your User Profile or in the Job Request. However, if you are a
Contractor, you may enter your appropriate contact details in the relevant contact
detail fields to be used when you have been Shortlisted; and
g. All tax obligations are the responsibility of the Contractor and/or the Client (as the
parties determine).
 

4.3- Acknowledgements
You acknowledge that:
a. we do not guarantee or make representations regarding the skills or representations of
any Contractor using our App or the quality of the job that he or she may perform if you
elect to retain their services;
b. payments by Clients to Contractors for jobs completed or services rendered are to be
arranged privately between the relevant Users, and we will not be responsible for or
liable in any way whatsoever for any loss arising from late payments or a lack of
payment for jobs completed or services rendered.
c. we do not endorse or recommend the services of any particular Contractor; and
d. the Contractors are not our employees or agents.

 

5- CONTRACTOR OBLIGATIONS:
5.1- You agree to only accept a Job Request if you have the current capacity, resources and skills to
complete the requested work, and hold the required insurance as specified by the Client.
5.2- You must quote in New Zealand dollars. All fees are exclusive of GST unless otherwise stated,
however if you are GST registered, you must include GST in the price.
5.3- You agree to your email address and contact details being supplied to the Client in respect of a
Job Request.
5.4- It is a violation of these Terms to, as a Contractor, refer a job or work that you have accepted
from a Client on to a third party without the consent of the Client.


6- CLIENT OBLIGATIONS:
6.1- You must only place a Job Request if you intend to pay for the relevant trade services.
6.2- You agree to specify in any Job Request:

a) The minimum insurance that you require the successful Contractor have in place;
b) The date payment will be made for the services you purchase from the Contractor, such
date being no later than the 20 th day of the month following the date the services are
completed; and
c) Any other information or business terms and conditions that may be relevant to
Contractors when deciding whether to make a quote.

6.3- If you choose to contract a Contractor, you warrant and represent that you have the legal right
to enter into and complete the transaction.
6.4- You must make full and prompt payment for any services you purchase from a Contractor in
accordance with the agreed method and date of payment.
6.5- You agree to your contact details being supplied to the Contractor (as chosen by you) when you
make a Job Request.
6.6- You must not post a job with the intention of targeting Contractors for any other purpose other
than completing a specific job. If you would like to target our database of Users for other
reasons, including:
i. recruiting staff;
ii. advertising your products; or
iii. any other reason,
then you must contact us to discuss other options.

7- USERS OUTSIDE NEW ZEALAND:
7.1- The App is operated by Contract Connections NZ Limited from New Zealand. The information on
the App may not be appropriate or available for use in other jurisdictions. If you choose to
access the App from a jurisdiction other than New Zealand, you do so on your own initiative and
you are responsible for compliance with any applicable laws of that jurisdiction.

8- COPYRIGHT AND TRADE MARKS:
8.1- We or our suppliers own copyright in the contents of the App. No part of the App may be
distributed or copied for any commercial purpose, and you are not permitted to incorporate the
material or any part of it in any other work or publication (whether in hard copy, electronic or

any other form) without our prior written consent. You may not frame any part of the App
material by including advertising or other revenue generating material. Further, you may not
remove or alter any trademarks or logos that appear on any material on the App.

9- FEES:
9.1- We charge Users a subscription fee for using our App (“Subscription Fee”). Our current
Subscription Fee(s) are available through the App.
9.2- We reserve the right to change the Subscription Fee charged for the use of the App at any time.
9.3- You acknowledge that we may automatically restrict your User Account from the end of the
Subscription Period if a Subscription Fee payment is unsuccessful or cancelled.
9.4- You agree to receive all invoices by email to the email address you have given to us. It is your
responsibility to ensure that this email address is valid and working correctly.

10- LINKING:
10.1- The contents of the App may include links to third party materials. We will not be responsible
for the content of any linked sites or liable for any direct or indirect loss or damage suffered by
you from accessing, using, relying on or trading with third parties. The linked sites are provided
to you only as a convenience, and the inclusion of any linked site does not imply any
endorsement of it by us or any association with its operators. We reserve the right to prohibit
links to the App and you agree to remove or cease any link on our request.

11- ADVERTISING:
11.1- Any dealings with any advertiser appearing on the App are solely between you and the
advertiser or other third party. We are not responsible or liable for any part of any dealings or
promotions.

12- COMMUNICATION TOOLS:
12.1- If you use any communication tools available through the App (such as any forum, chat room or
message centre), you agree only to use those communication tools for lawful and legitimate
purposes. You must not use any communication tool for posting or disseminating any material
unrelated to the use of the App, including (without limitation) the offer of goods or services for
sale, files that may damage any other person’s computing devices or software, content that may
be offensive to any other users of our App, or material or data in violation of any law (including
data or other material that is protected by copyright or trade secrets which you do not have the

right to use). When you make any communication on the App, you represent that you own the
content of the communication.
12.2- We are under no obligation to ensure that the communications on the App are legitimate, and
we are not able to monitor communications at all times. We reserve the right to remove any
communication at any time in our sole discretion. Please report any objectionable information
to us at contractconnections@gmail.com.

13- EXCLUSION OF LIABILITY:
13.1- To the fullest extent permitted by law, we exclude all liability for any loss or damage that results
from your use of the App and any services we provide, including from all express and implied
warranties and representations. We will not be responsible for errors or misstatements or be
liable, whether in contract, tort (including negligence) or otherwise, for any loss or damage
however caused (including indirect, consequential or special loss or damage, or loss of profits,
loss of data, loss of anticipated savings or loss of opportunity).
13.2- You expressly understand and agree that your use of the App and the Services is at your sole
risk. The App and Services are provided on an as is and as available basis. To the maximum
extent permitted by law, we disclaim and exclude all implied conditions or warranties, including,
any warranties of merchantability, fitness for a particular purpose, and non-infringement.
13.3- We do not warrant that:
(a) the App or Services provided will be uninterrupted, timely, secure, or error free; or
(b) that any information provided on the App is error-free or reliable.
13.4- If you are a consumer using the App for non-business activities then nothing in these terms and
conditions is intended to abrogate any rights you might have under the Consumer Guarantees
Act 1993 (if any).

14- INDEMNITY:
14.1- You will take all necessary action to defend and indemnify us and our directors, employees and
agents against all costs, expenses and damages incurred in connection with any claim brought
by a third party against us that arise from a breach by you of any of these Terms.
 

15- INFORMATION AND MATERIAL:
15.1 The content on the App is provided for general information only. You should obtain professional
or specialist advice before taking or refraining from any action on the basis of any information
on the App.


16- ENTIRE AGREEMENT:
16.1- These Terms in conjunction with our privacy policy form the entire agreement between us and
you relating to the App and your use of the Services.

17- GENERAL PROVISIONS:
17.1- If at any time we do not enforce any of these Terms, or grant you time or any other indulgence,
we will not be construed as having waived that term or condition or our rights to later enforce
that, or any other, term or condition.
17.2- Further, if any part or provision of these Terms is considered to be invalid, unenforceable or in
conflict with the law, that part or provision is deemed to be modified by a provision which, as far
as possible, accomplishes the original purpose of that part or provision. The remaining terms
and conditions will continue to be binding on the parties.
17.3- These Terms are governed by and will be construed in accordance with the laws of New Zealand,
and you submit to the exclusive jurisdiction of the courts of New Zealand.
